Welcome to Reliable Rider (“Company,” “we,” “our,” or “us”), a member-based ride-sharing platform utilizing advanced Full Self Driving (FSD) vehicle technologies. These Terms of Use (“Terms”) govern your access to and use of our website, mobile applications, membership services, and transportation network (collectively, the “Services”).

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.

1. Membership-Based Service Model

Reliable Rider operates as a private, membership-based ride-sharing club organized by geographic regions (e.g., ZIP code-based networks). Transportation services are provided exclusively to approved members.

By enrolling as a member, you acknowledge and agree:

• Membership is required to access transportation services
• Vehicles may be owned and managed by the Company or its affiliated entities or clubs
• Transportation is provided as a shared mobility service, not as a common carrier or public transportation provider

We reserve the right to approve, deny, suspend, or terminate membership at our sole discretion.

2. Eligibility

To use Reliable Rider Services, you must:

• Be at least 18 years of age
• Possess legal capacity to enter into a binding agreement
• Complete any required onboarding, identity verification, and safety acknowledgments
• Have a valid State Issued Driver’s License

Additional eligibility requirements may apply depending on location and service type.

3. Nature of Transportation Services

Reliable Rider provides access to:

• Full Self Driving (FSD) vehicles, and/or

You acknowledge and agree:

• Full Self Driving vehicle technology is evolving and may involve inherent risks
• Vehicles may operate with limited human oversight
• Routes, timing, and vehicle availability are not guaranteed

Reliable Rider does not guarantee uninterrupted, error-free, or risk-free transportation.

4. Assumption of Risk

By using the Services, you expressly acknowledge and accept:

• Risks associated with motor vehicle transportation, including accidents, delays, or mechanical failures
• Additional risks associated with Full Self Driving (FSD) vehicle operation
• Environmental, traffic, and third-party risks beyond the Company’s control

You voluntarily assume all such risks to the fullest extent permitted by law.

5. Release and Limitation of Liability

To the maximum extent permitted by applicable law, you agree:

• To release, waive, and discharge Reliable Rider, its affiliates, officers, employees, contractors, and partners from any and all claims arising from your use of the Services
• That Reliable Rider shall not be liable for:
  • Personal injury, death, or property damage
  • Delays, cancellations, or service interruptions
  • Errors or malfunctions in autonomous systems

This limitation applies whether claims arise in contract, tort (including negligence), or otherwise.

6. Indemnification

You agree to indemnify, defend, and hold harmless Reliable Rider and its affiliates from any claims, damages, liabilities, and expenses arising out of:

• Your use or misuse of the Services
• Your violation of these Terms
• Your conduct during rides (including damage to vehicles or harm to others)

7. User Conduct and Responsibilities

While using the Services, you agree:

• To comply with all applicable laws, regulations and safety guidelines
• To follow all in-vehicle instructions, including those provided by Full Self Driving systems
• Not to interfere with vehicle operation, safety systems, or monitoring technology
• Not to damage, vandalize, or misuse any vehicle

We reserve the right to suspend or terminate your membership for misconduct.

8. Full Self Driving (FSD) Vehicle Acknowledgment

Where Full Self Driving (FSD) vehicles are deployed, you specifically acknowledge:

• The vehicle operates with human driver supervision
• Decision-making is controlled by software, sensors, and AI systems
• Unexpected behavior may occur despite safety protocols

You agree not to:

• Attempt to override, hack, or interfere with vehicle systems
• Tamper with sensors, cameras, or controls

Failure to comply may result in immediate membership termination and legal action.

9. Fees, Billing, and Payments

Members agree to:

• Pay all applicable membership fees, club fees, and special assessment fees
• Pay Invoices within 10 days
• Accept cost-sharing models where applicable

Reliable Rider makes clear statements of which fees are refundable and which fees are non-refundable.

10. No Guarantee of Availability

Reliable Rider does not guarantee:

• Vehicle availability to club members at all times, but does reimburse members if the club vehicle is not available during their reservation for 4 hours of use.
• That Club Vehicles are delivered to the next club members’ address at the expected delivery time. But late fees are assessed to club members who fail to deliver the club vehicle on time.
• Membership availability in all geographic areas. There must be a minimum of 20 members who activate their membership within one zipcode.

Service levels may vary based on operational constraints.

11. Technology and Data Usage

By using the Services, you consent to:

• Collection of ride data, mileage data, location data, and usage patterns
• Audio and video recording within vehicles for safety and security
• Use of data to improve operations, safety, and user experience

All data is handled in accordance with our Privacy Policy.

12. Intellectual Property

All software, systems, branding, and content associated with Reliable Rider are the exclusive property of the Company.
You may not:

• Copy, reverse engineer, or exploit proprietary systems
• Use Company branding without written consent

13. Third-Party Services

Reliable Rider may integrate with third-party providers (e.g., mapping, payments, vehicle manufacturers). We are not responsible for:

• Third-party system failures
• External service disruptions

14. Termination

We reserve the right to suspend or terminate your Membership and access to the Services at any time for:

• Violation of these Terms
• Safety concerns
• Misuse of vehicles or technology

You may terminate your membership at any time, subject to applicable cancellation terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising under these Terms shall be resolved through:

1. Good faith negotiation
2. Binding arbitration in the State of Arizona
3. Courts located in Arizona, where arbitration is not applicable

You waive any right to participate in class-action lawsuits.

17. Changes to Terms

We may modify these Terms at any time. Updates will be posted on the Website. Continued use of the Services constitutes acceptance of the revised Terms.

19. Entire Agreement

These Terms constitute the entire agreement between you and Reliable Rider regarding the use of the Services and supersede all prior agreements or understandings.

BY USING RELIABLE RIDER SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS, INCLUDING THE ASSUMPTION OF RISK AND LIMITATION OF LIABILITY PROVISIONS.
